BioSolveIT Naomi Binary package for KNIME Interfaces The BioSolveIT KNIME nodes are interfaces to trigger various BioSolveIT tools externally via shell command line calls. This package contains and installs the external executables which are triggered to run Naomi within the KNIME platform. An additional license key from BioSolveIT is required to uses this software. BioSolveIT grants Licensee for the duration of this "Contract" a non-exclusive, non-transferable license (the "License") to use the "Licensed Material", listed in Annex A, without support according to the terms and conditions below. II. Any use of the Licensed Material beyond the License granted requires a separate written agreement. III. If the use of the Licensed Material is protected by a technical mechanism, Licensee has to request the required technical access ("Technical Access") at BioSolveIT. BioSolveIT is free to refuse such request. The granting of the Technical Access might be based on a further License Agreement which then supersedes this Contract. On no account may any information or material concerning the Technical Access be passed on to third parties. IV. Licensee is entitled to use the Licensed Material for the duration of this Contract. Licensee will not unreasonably deny BioSolveIT's request to summarise the Licensee's experience gathered during the usage. This refers to any information which may be useful for improving the Licensed Material. In particular, any bugs detected shall be reported to BioSolveIT. V. The right to use the Licensed Material is strictly restricted to Licensee's internal therapeutic research or similar natural science research purposes. VI. It is forbidden to use the Licensed Material in any way as a basis for development of similar or potentially competitive software. In particular it is forbidden to use the Licensed Material for the development of software which is equivalent to the software BioSolveIT distributes at the date of this contract. The current status of BioSolveIT's software portfolio can be checked at BioSolveIT's internet pages. VII. The Licensed Material must be used in its entirety. No parts of the package may be integrated in or used with software other than the standard operating system of the computer, and this is restricted solely to the extent that is unavoidable. In particular, this applies to any data package. §2 Copying Rights Licensee may copy the Licensed Material as far as necessary for its use, as well as for backup purposes. §3 Manipulation of the Licensed Material I. Any action such as renaming, changing, disassembly, reverse- engineering, decoding, translating, rearranging, manipulating or debugging the Licensed Material shall be collectively referred to as to "Manipulate" the Licensed Material. II. Licensee may not Manipulate the Licensed Material except if allowed by law. III. Licensee must not Manipulate any copyright notice. IV. Licensee must give at least 2 weeks prior written notice to BioSolveIT of its intention to Manipulate the Licensed Material. Such prior notice shall provide a precise description of and motivation for the intended action, enabling BioSolveIT to offer to Manipulate the Licensed Material itself, thereby superseding Licensee's need to Manipulate the Licensed Material. V. If Licensee intends to Manipulate the Licensed Material in order to eradicate a fault or to achieve interoperability with an independently created computer program, BioSolveIT reserves the right to resolve such problems itself within an appropriate period of time. VI. Licensee must additionally provide written notification of Manipulation of the Licensed Material immediately after performing such action, providing a precise description of what has been done to the Licensed Material, thereby enabling BioSolveIT to reproduce such action. §4 Liability, Warranty I. Unless specified in Annex A, BioSolveIT is not aware of any rights of third parties which would oppose the License according to § 1 I. However, BioSolveIT is not liable for the Licensed Material and the know-how being free of rights of third parties. II. BioSolveIT undertakes no maintenance obligations. III. BioSolveIT shall not be liable for any damages resulting from Licensee's use of the Licensed Material including indirect or subsequent damages such as loss of data, operating problems or lost profit, unless BioSolveIT acted with gross negligence or bad faith, or was negligent in complying with the main stipulations of this contract. In any event, any compensation paid by BioSolveIT shall be restricted to a maximum amount of EURO 5.000,00 (five thousand). If physical injuries were caused by the Licensed Material, the maximum amount of compensation shall be restricted to EURO 50.000,00 (fifty thousand). IV. The producer's liability as defined by German law (Produkthaftungsgesetz) shall not be affected. §5 Charges This contract does not cause any charges. License fees may incur if Technical Access is granted, but only if separately and explicitly agreed between the parties in writing. §6 Term, Termination I. This Contract shall become effective as of the date it is electronically accepted by the Licensee. II. However, BioSolveIT has the right to terminate the Contract with seven days notice. Additionally BioSolveIT may terminate the agreement without notice if Licensee fails to fulfill one or more obligations under this Contract. III. All rights of Licensee to the use of the Licensed Material and the know-how transferred shall cease at the expiration or termination of the Contract. IV. Within one week after expiration or termination of the Contract, Licensee will irreversibly destroy all copies of the Licensed Material and related documents. §7 Final Clauses I. This Contract shall be governed and construed in accordance with the laws of Germany. Place of jurisdiction shall be Bonn. The CISG (United Nations Convention on Contracts for the International Sale of Goods) shall not be applicable. II. Should a provision of this agreement be invalid or become invalid or should this agreement contain an omission, then the legal effect of the other provisions shall not thereby be affected. Instead of the invalid provision a valid provision which comes closest to what the parties intended commercially is deemed to have been agreed upon; the same applies in the case of an omission. III. This Contract shall not be modified or changed except in writing; this shall also apply to any waiver of this requirement. Changes and amendments must be identified as such. ANNEX A Licensed Material: Naomi Any accompanying material Rights of third parties: As far as the Licensed Material includes FlexX, FlexS and/or Corina-F, Licensee acknowledges subsequent rights of third parties. Licensee hereby acknowledges that BASF Ludwigshafen and the Cambridge Crystallographic Data Centre hold rights on the Torsional Angle Library and the Additional data contained in the FlexX/FlexS Static Data package. Licensee hereby agrees that it will not copy the Torsional Angle Library and the Additional data other than as allowed herein for Licensee's own use and for the archival and backup purposes. Licensee shall not disclose such libraries and data to any third party including but not limited to making any assignment or sublicense of such materials. Licensee shall not use the Torsional Angle Library and the Additional data contained in the FlexX/FlexS Static Data package for the benefit of or to provide any service to a third party. All rights to CORINA-F belong to Molecular Networks GmbH (Erlangen/Germany), the developer of that software.
